ALP: What is a Source Code Escrow, and when do I need one?

Most businesses, even smaller ones, have at least one software license agreement that is mission critical. A source code escrow is an arrangement that can provide protection to the business should the software provider go out of business or discontinue support and/or maintenance for the licensed software. Even though the dot com bubble has burst, it is still very common to find smaller and/or newly formed software companies with valuable and useful software for use in niche areas and otherwise.

Source code escrows can reduce or eliminate the risk of doing business with such a small or new company. Source code escrows are generally negotiated as a part of the initial software license agreement. They can also be entered into after the license agreement has been signed, but a licensee has much less leverage at that point to negotiate favorable terms.

Typically, a source code agreement is entered into among the software provider, the business licensee and an unrelated third party escrow agent. There are many more experienced software escrow agents available now than there were 10 years ago, and many banks will also provide this service.

Under the typical software license, a business only receives access to the object code for the software being licensed. When there is a source code escrow agreement in place, the source code to the software is provided to a third party escrow agent. The escrow agent is authorized to release the source code to the licensee upon the occurrence of certain triggering events.

The most heavily negotiated provisions in a source code escrow agreement are those relating to the events that trigger the release of the source code. These triggering events are negotiable but almost always include the bankruptcy of the software provider, the discontinuance of business by the provider and the joint written instructions of the provider and the licensee to a release of the code.

You should also consider the following events as possible triggers to a release:

  1. The laying off of substantially all of the employees of the provider, or substantially all of the employees that provide support, maintenance and/or development for the licensed software. This is often the first sign that a company is in trouble, and as a licensee, you want notice of this as soon as possible.
  2. The failure to provide maintenance and/or support in accordance with the provider’s agreements relating to the same.
  3. A change in control of the provider.
  4. A discontinuance of the type of software licensed by a business.
  5. The default of the provider under the software license agreement, after an opportunity to cure.

Other Typical Agreement Provisions

Source code escrow agreements are typically drafted so that there is little or no risk to the escrow agent. Under the agreement, if an event occurs that might trigger a source code release, the escrow agent will generally require written notice of the event from the licensee. Most agreements provide that the escrow agent give written notice to the software provider of the licensee’s allegation that a triggering event has occurred. The software provider then has the opportunity to dispute the allegation of the licensee, and this is generally played out through mandatory arbitration between the provider and licensee. In my experience, if the provider’s ship is truly sinking, the provider typically wants to try to take care of its licensees and will very often co-operate with the licensee and sign a joint agreement to release the code.

When released, unless the escrow agreement provides otherwise, the licensee obtains the right to continue to use the software as provided under the original license; provided, however, that the licensee also has the right to do its own maintenance, support, upgrades, etc. or hire a third party to do the same.

Tips for a Negotiating a Success Source Code Escrow Agreement

  1. Make sure the escrow agreement can survive the bankruptcy of a software provider, since that is one of the primary reasons a licensee would enter into a source code escrow agreement. In that regard, we recommend that the license granted through the escrow (i.e. allowing the licensee to use the source code to maintain, support and upgrade the software) be a current license, which is just not exercisable until there is a triggering event. The escrow agreement should also have the following language, which will give the licensee certain benefits under the federal bankruptcy laws:

The parties desire this Agreement to be supplementary to the [Software License Agreement] pursuant to 11 United States [Bankruptcy] Code, Section 365(n).

  • Think through the triggering events and make sure they fit well with the software provider you have chosen and that they reflect what might really happen. Don t just rely on the boilerplate triggering events in other agreements.
  • If the escrow agreement involves software development, in addition to a software license, a licensee should insist that deposits of the source code be made on a regular basis throughout the development, such as once a month or once every 60 days. Normally it would make sense to wait until the development is complete to require that the source code be deposited, but it is not unusual for a software company to fail half way into a development.
  • Make sure the escrow agent is experienced and reputable.
  • Make sure your escrow agreement is crystal clear about the rights of the licensee after the source code has been released. The licensee is still using the source code under a license, and in cases where the provider is defunct, the licensee generally wants to find a third party replacement for the provider. In my experience, the best place to look for assistance when the worst happens is with the former employees of the provider. They are usually anxious for work and are the most knowledgeable about the software, so it pays to keep in close contact with the employees of your provider.
  • A business can avoid a source code escrow by obtaining a source code license directly from the provider. This license must give the business the flexibility it needs to move forward should the provider go out of business. In most cases, providers are unwilling to grant source code licenses or they are cost prohibitive. However, I have been surprised in some cases, and try to remember to ask the question of my business clients when we are working on a software deal.

    Another possible approach is to obtain a security interest in the software to secure the obligations of the provider under the license agreement. I have yet to be able to achieve this, since most providers already have bank financing, and the bank has long ago perfected its security interest in the software.

    There are situations when the alternatives discussed above may work, but typically a source code agreement is the best means of minimizing risk for businesses in connection with their mission critical third party software.

    Sending Email in ASP.NET 2.0

    Email serves as a ubiquitous, asynchronous notification and information distribution system. Not surprisingly, there are many web development scenarios where server-side code needs to generate an email and scuttle it off to the intended recipient. The email may be destined for a user of the website, informing them of their newly created user account, reminding them of their forgotten password, or emailing them an invoice. Or it may be destined for a web developer or site administrator, providing information of an unhandled exception that just transpired or user feedback.

    Fortunately, ASP.NET makes sending email a breeze. The .NET Framework version 1.x included a number of classes in the System.Web.Mail class that allowed programmatically sending an email with a few scant lines of code. While this namespace and these classes still exist in the .NET Framework version 2.0, they have been deprecated in favor of new mail-related classes found in the System.Net.Mail namespace.     In this article we’ll look at the classes in the System.Net.Mail namespace and see how to send an email from an ASP.NET 2.0 page’s code-behind class. We’ll also look at specifying relay server information in Web.config and how this information can be used in some of the built-in ASP.NET server controls for sending emails (such as when a user creates an account or needs a password reminder/reset). Read on to learn more!

    Exploring the Classes in the System.Net.Mail Namespace

    There are 16 different classes in the System.Net.Mail namespace, all related to send email to a specified Simple Mail Transfer Protocol (SMTP) server for delivery. The two core classes in this namespace are:

    • MailMessage – represents an email message; has properties like From , To , Subject , Body , and so on.
    • SmtpClient – sends a specified MailMessage instance to a specified SMTP server.

    When sending an email from an ASP.NET 2.0 page you will, typically:

    1. Create a MailMessage object
    2. Assign its properties
    3. Create an instance of the SmtpClient class
    4. Specify details about the SMTP server to use (if they’re not already specified within Web.config )
    5. Send the MailMessage via the SmtpClient object’s Send method

    Steps 1 and 2 may be bypassed as the SmtpClient class’s Send method can accept either a MailMessage object or four strings, representing the from, to, subject, and body contents of the email message.

    The System.Net.Mail namespace’s other classes allow for more advanced email functionality. There are classes that can be used to add attachments to an email message, to embed objects within an email, to specify SMTP server authentication information, and Exception -derived classes for handling SMTP-specific exceptions. We’ll examine using some of these other classes for more advanced scenarios in future articles.

    Providing the SMTP Server’s Details

    When sending an email to a friend from Outlook or GMail, the email program establishes a connection with a relay server and sends the contents of the email message, along with information such as the date the email was composed, the email body’s format (text or HTML, for example), the recipient(s), and so on. The relay server accepts the message and then connects to the recipient’s SMTP server and sends the message. Once the message has been delivered, the recipient can, at some later point in time, pull down the message using a different protocol (such as IMAP or POP3).

    Therefore, to send an email from an ASP.NET page we need to provide the SmtpClient class with information about the relay server. Along with the hostname of the relay server, you can specify the port (typically port 25 is used), whether or not to use SSL when communicating your email message contents to the relay server, and authentication credentials (if necessary). Alternatively, if you have a local SMTP service installed on your web server, it may periodically monitor a particular “drop-off” directory, sending any messages that appear in that directory. You can configure whether the SmtpClient class relays its email messages to a separate relay server or if it drops it off in a specified pickup directory through the DeliveryMethod property.

    The relay server information used by the SmtpClient class can be specified programmatically, through the SmtpClient class’s properties, or can be centralized in Web.config . To use the Web.config approach, add a system.net element within the configuration element. Then, add a mailSettings element that contains an smtp element whose settings are specified within its network child element, like so:

    The host attribute contains the relayServerHostname. If you are using an external relay server, the relayServerHostname might be something like smtp.yourisp.com . If the relay server’s port number is something other than the typical port 25, specify it through the port attribute. Most external relay servers require authentication of some sort (in order to prevent anonymous spammers from sending their garbage through the relay). The userName and password attributes can be provided in the case where username/password authentication is needed.

    Only a subset of the SmtpClient properties can be specified through settings in Web.config . To customize the other SmtpClient properties – EnableSsl , Timeout , and so on – set them programmatically when sending the email (step 4 from the list of five steps examined earlier in this article).

    Sending an Administrator Email Through a Feedback Web Page

    To illustrate sending an email using the MailMessage and SmtpClient classes, I’ve created a simple feedback page example. In this page the user is prompted for their email address, the subject of their feedback, and their feedback.

    rcov is a code coverage tool for Ruby. It is commonly used for viewing overall test coverage of target code. It features:

    • multiple analysis modes: standard, bogo-profile, “intentional testing”, dependency analysis.
    • detection of uncovered code introduced since the last run (“differential code coverage”)

    Code coverage shouldn’t be abused (in few words, C0 coverage guarantees nothing) but it’s still useful for testing: it will at least tell you when your tests need more work, and most importantly where.

    C0 coverage analysis (as done by rcov) tells you which lines of code have been executed: you typically use it to find the areas of your program that have not been sufficiently tested, i.e. those that were not run by your test cases. C1 coverage refers to the different branches of conditional statements, for instance,

    gets 100% C0 coverage (you did “execute that line”). but only 50% C1 coverage if only one branch was followed: iow. in order to get 100% C1 coverage you’d have to change your tests so that somecondition is true in a run and false in another.

    It’s possible to get very close to 100% C0 and C1 coverage. While a C0-1 coverage of 100% doesn’t guarantee that your program is correct, if your coverage is much lower it certainly means that your tests aren’t good enough. As for C2 coverage, it’s usually not possible to make it very high: you can keep it as an indirect measure of quality, but the gain/cost ratio is lower than for C0-1 coverage, I guess.

    Billing the Global Surgical Package

    Medicare, Medicaid, and third-party commercial insurers employ the concept of a global surgical package when reimbursing surgeons for specific medically necessary services that they provide to patients under their care. What this means is that certain services are incidental to the main procedure, or that they are considered an integral component of that surgical procedure. This includes both evaluation and management services, as well as physical interventions that may be required in order for the procedure to be successful.

    Global Surgical Periods

    The Medicare Claims Processing Manual defines the global surgical package concept in Chapter 12, Section 40.1. The global period is defined for each surgical Healthcare Common Procedural Coding System (HCPCS) code. It can be zero or ten days following a surgical procedure for minor procedures or endoscopies, or it can be ninety days for major surgeries. This means that all services provided to a patient that included in the global package that provided during this period are considered integral to the global package.

    The approved amount for any surgical procedure defined by a HCPCS code is reimbursed by considering all the elements that go into successfully completing the service. This includes pre-operative visits to the surgeon after the initial visit during which the surgeon determines that surgical intervention is the most appropriate care option for the patient’s condition. The clock begins the day before surgery for major operations, and the day of surgery for minor operations. When surgery is scheduled, all evaluation and management services relating to the surgical condition are bundled into the global surgical package.

    The Global Surgical Package

    Consistent with this, all intra-operative services that the surgeon performs are considered a necessarily important part of the surgical procedure. Evaluation performed in the operating suite is not coded or billed separately. The HCPCS code for the procedure includes everything that happens while the procedure is being performed.

    After the surgical procedure is concluded, any services that a surgeon provides to deal with anticipated or unanticipated complications relating to the surgery are considered part of the global surgical package. For major operations, this means that complications that occur within ninety days after the procedure was completed are bundled into the initially reported code. For minor operations, complications that occur within ten days after the surgery are considered integral with dealing with the patient’s immediate care. For the least invasive operations, such as endoscopies, in which the incidence of complication are very low, and that carry a global period of zero, next day complications can be coded and billed for appropriate reimbursement. These guidelines include all post-operative visits related to the surgery, as well as post-surgical pain management.

    Supplies that a surgeon employs to perform a surgery are considered an integral component of the applicable HCPCS code. This includes dressings, drains, casts, suture material, catheters, and anesthesia delivered by the surgeon, though not services provided by a separate anesthesiologist. The operation cannot be performed without these supplies, and their cost is factored into the fee that third-party payers assign to specific HCPCS codes for each surgical procedure.

    Just as follow evaluation and management of the complications that follow surgeries is considered integral to major surgeries, the same is true of miscellaneous services that follow an operation. The removal of drains, changing dressing, splints, casts, and changing or maintaining nasogastric tubes, urinary catheters, and tracheostomy tubes are likewise bundled into both routine, and non-routine, post-operative management. For instance, though procedural codes exist for the placing a urinary catheter, if it takes place during the global surgical period, this service is not coded for reimbursement purposes.

    What the Global Surgical Package Does Not Include

    The initial consultation that a surgeon performs to determine the need for a major surgical intervention is not a part of the global surgical package. When it is determined that a minor surgical procedure is indicated, the initial evaluation and management is included in the allowable reimbursement for the procedure unless there is management above and beyond the performance of the procedure and its immediate effects on the patient.

    Within the global period, a patient may present with symptoms or conditions that are unrelated to the surgery or to the condition for which the surgery was performed. These services are not bundled into the surgical package. They are coded and billed accordingly, with a modifier -25 appended to the relevant HCPCS code to indicate that distinct service was performed separate from the main reason for the patient encounter.

    Diagnostic tests and procedures, including diagnostic radiology, are likewise not bundled into the global surgical package. Neither are distinct surgical procedures that are unrelated to the main procedure.

    There are other exceptions to the global surgical package concept, but these are the most common. Professional medical billers and certified medical coders who have received the appropriate training from a credentialed learning program are aware of these issues. They prevent surgeons from unbundling services that are included in the global surgical package for reimbursement. Unbundling services is an aspect of medical claims fraud that is watched closely by third-party payers. By reducing the risk of being accused of fraudulent billing, professional medical billers and medical coders who specialize in surgery ensure that their employers receive the maximum legal reimbursement for their services without abusing the system and subjecting themselves to legal exposure.
